Oslo, 19 June 2019: Reference is made to the announcement by NEXT Biometrics Group ASA (“NEXT” or the “Company”) on 28 May 2020 regarding the successful completion of a fully underwritten private placement of 25,000,000 shares, each with a par value of NOK 1.00, at a subscription price of NOK 2.00 per share (the “Private Placement”) and the resolution by the board of directors of the Company to propose to the general meeting that a subsequent offering of up to 10,000,000 shares, each with a par value of NOK 1.00, at a subscription price of NOK 2.00, is carried out (the “Subsequent Offering”).
An extraordinary general meeting in the Company was held today, on 19 June 2020. The general meeting approved all items on the agenda, including, inter alia, the Private Placement, the Subsequent Offering, the grant of share options to board members and an authorisation to the board of directors to increase the Company’s share capital in connection with the Company’s share option programme for board members, management and other employees. The general meeting’s resolutions were in accordance with the proposals by the board of directors, however, so that the estimated expenses for the Private Placement were adjusted from NOK 8.5 million to NOK 8 million, based on an updated estimate.
